In these Terms, the following capitalised terms have the meanings set out below:
References to statutes or statutory provisions include amendments and re-enactments. The singular includes the plural and vice versa. Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation."
Dentago operates as a neutral, technology-enabled procurement marketplace for the UK dental industry. The Platform aggregates Catalogue Data from multiple Supplier Users and presents it to Clinic Users in a unified search and comparison interface, enabling Clinic Users to identify competitive pricing, check stock availability, and place Orders across multiple suppliers from a single platform.
Dentago is not a dental product distributor, reseller, wholesaler, or supplier. Dentago does not hold, own, warehouse, ship, or take title to any Products at any time. All Products are sold directly by the relevant Supplier User to the Clinic User. Dentago facilitates the introduction and transaction between Clinic Users and Supplier Users but is not a party to any contract of sale between them, except where expressly stated otherwise.
Access to and use of the Platform is provided free of charge to Clinic Users. Dentago does not charge clinics subscription fees, transaction fees, or any other charges for using the core marketplace functionality as at the date of these Terms. Dentago reserves the right to introduce paid features, premium tiers, or subscription plans in the future, and will provide no less than 30 days' advance notice of any such changes to registered Clinic Users.
To register as a Clinic User you must:
To register as a Supplier User you must be a business entity lawfully incorporated and operating in the United Kingdom and authorised to distribute or sell the dental Products you intend to list.
You must provide accurate, complete, and current information during registration and maintain the accuracy of such information throughout the period your Account remains active. You must notify Dentago promptly of any material change to your registration information by contacting support@dentago.co.uk.
Dentago may require Clinic Users to complete an identity and professional verification process before being granted full access to the Platform. This may include, without limitation:
Dentago reserves the right to refuse or revoke verification at its sole discretion, without being required to give reasons, where it reasonably suspects fraud, misrepresentation, or non-compliance with these Terms or applicable law.
You are responsible for maintaining the confidentiality of your Account login credentials. You must not share your credentials with any third party (other than authorised staff within your organisation) and must take all reasonable steps to prevent unauthorised access to your Account. You must notify Dentago immediately at security@dentago.co.uk upon becoming aware of any actual or suspected unauthorised use of your Account. Dentago will not be liable for any loss or damage arising from your failure to maintain Account security.
Each dental practice or legal entity may register one primary Account. Multiple user logins within a single organisation are permitted and encouraged. Multi-location organisations (DSOs and corporate groups) should contact enterprise@dentago.co.uk to discuss multi-location account structures.
Clinic Users may, at their sole discretion, provide Supplier Credentials to Dentago to enable the Platform to access connected supplier accounts on the Clinic User's behalf. The provision of Supplier Credentials is entirely voluntary and is not required to use the basic search and comparison features of the Platform.
Dentago will use Supplier Credentials solely for the following purposes:
Dentago will not use Supplier Credentials for any purpose other than those specified above, will not share Supplier Credentials with any third party (including other Clinic Users), and will not use Supplier Credentials to place Orders without the express instruction of the Clinic User.
All Supplier Credentials stored by Dentago are encrypted at rest using industry-standard encryption. Dentago implements technical and organisational measures designed to protect Supplier Credentials from unauthorised access, disclosure, or misuse. You acknowledge that no system of data storage is entirely free from risk and that Dentago cannot guarantee the absolute security of stored credentials.
By providing Supplier Credentials, you represent and warrant that you are authorised to do so under the terms of your agreements with the relevant supplier and that your use of Dentago to access connected supplier accounts does not violate any applicable third-party terms of service. Dentago accepts no liability for any breach of third-party terms arising from the Clinic User's connection of supplier accounts to the Platform.
You may remove your Supplier Credentials from the Platform at any time via your Account settings. Dentago will permanently delete stored credentials within 30 days of receiving a removal request, except where retention is required by applicable law.
When a Clinic User submits an Order through the Platform, Dentago transmits the Order to the relevant Supplier User(s) on the Clinic User's behalf. The contract of sale for each Product is formed directly between the Clinic User and the relevant Supplier User at the point the Supplier User accepts the Order (or as otherwise specified in the Supplier User's own terms of sale). Dentago is not a party to that contract.
Prices displayed on the Platform are provided by Supplier Users and may reflect either publicly available list prices or, where Supplier Credentials have been connected, the Clinic User's individually negotiated prices. Dentago does not guarantee that prices displayed are the lowest available in the market, that they are current at the precise moment of viewing, or that they will remain unchanged between viewing and order placement. All prices are shown exclusive of VAT unless otherwise stated. VAT will be applied at the applicable rate.
Whilst Dentago takes reasonable steps to ensure the accuracy of Catalogue Data, pricing information is provided by Supplier Users and may be subject to change without notice. Dentago is not responsible for pricing errors originating with Supplier Users. If a Supplier User's confirmed order price differs materially from the price displayed on the Platform at the time of ordering, the Clinic User should contact the Supplier User directly to resolve the discrepancy.
Stock availability information displayed on the Platform is provided in good faith based on data supplied by Supplier Users. Dentago does not guarantee stock availability and accepts no liability where Products are unavailable following Order placement.
Delivery of Products is the sole responsibility of the Supplier User. Estimated delivery timeframes displayed on the Platform are indicative only and are provided by Supplier Users. Dentago accepts no liability for delayed, incomplete, or failed deliveries.
All returns, refund requests, and disputes relating to Products must be directed to and resolved with the relevant Supplier User in accordance with the Supplier User's own returns and refunds policy. Dentago does not process refunds for Products. Dentago may, at its discretion, assist in facilitating communication between a Clinic User and a Supplier User where a dispute arises, but is not obligated to do so.
Certain Products listed on the Platform, including prescription-only medicines (POMs), controlled drugs, and products subject to regulatory restriction, may only be purchased by persons who are legally authorised to do so. By placing an Order for any such Product, the Clinic User warrants that:
Dentago does not provide regulatory compliance advice and accepts no liability for any breach of applicable regulations in connection with the purchase or use of regulated Products.
Catalogue Data is sourced from Supplier Users and, where Supplier Users do not provide complete data, may be supplemented by Dentago through automated catalogue scraping of publicly available information from Supplier Users' websites and publicly accessible databases. Dentago takes reasonable steps to ensure the accuracy of Catalogue Data but does not warrant its completeness, accuracy, or currency.
Product descriptions, images, specifications, and other information displayed on the Platform are provided for informational purposes only. Clinic Users are responsible for independently verifying product suitability for their intended clinical use. Nothing on the Platform constitutes clinical, medical, or regulatory advice.
The Platform may display a single product listing representing the same physical product listed by multiple Supplier Users under different SKUs or product names. Dentago uses automated product matching and deduplication logic to consolidate such listings. Whilst Dentago takes reasonable care in this process, Clinic Users should verify SKU accuracy and product specifications directly with the relevant Supplier User before placing Orders, particularly for regulated or prescription products.
You may use the Platform solely for lawful purposes in connection with the procurement or supply of dental products for use in a registered dental practice or associated dental business operating in the United Kingdom.
You must not:
Dentago reserves the right to suspend or permanently terminate your Account, restrict access to specific features, report your conduct to relevant authorities (including the GDC, NHS England, the CQC, or law enforcement agencies), and pursue any available legal remedies, in the event of actual or suspected breach of Section 7.2 or any other provision of these Terms.
All Intellectual Property Rights in and to the Platform, including its source code, design, architecture, user interface, trade marks, logos, written content, and documentation, are owned by or licensed to Dentago. Nothing in these Terms grants you any right, title, or interest in Dentago's Intellectual Property Rights except the limited licence described in Section 8.3.
Supplier Users retain ownership of Intellectual Property Rights in Catalogue Data and other content they submit to the Platform. By submitting Catalogue Data to the Platform, each Supplier User grants Dentago a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, process, adapt, display, and distribute such content for the purposes of operating the Platform.
Dentago grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose in accordance with these Terms. This licence does not include the right to sublicence the Platform or any content on it to any third party.
If you provide feedback, suggestions, or ideas to Dentago regarding the Platform ("Feedback"), you grant Dentago an irrevocable, perpetual, royalty-free, worldwide licence to use such Feedback for any purpose, including incorporating it into the Platform, without any obligation to compensate you.
Dentago is the data controller in respect of personal data collected from Users through the Platform. Dentago processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference and forms part of this Agreement.
Each party shall comply with Data Protection Law in connection with its use of the Platform and any personal data processed in connection with these Terms. You must ensure that any personal data you submit to the Platform (including data relating to practice staff) is submitted lawfully and with any required consent or other lawful basis.
The collection, storage, and use of Supplier Credentials is further described in Section 4 and Dentago's Privacy Policy. Supplier Credentials are treated as confidential information and processed under strict access controls.
Dentago may use aggregated, anonymised purchasing data derived from Platform activity for the purposes of product development, market analysis, and improving the Platform. Such aggregated data will not identify individual Users or practices. Dentago may share anonymised aggregated market data with third parties, including Supplier Users, in the form of category-level purchasing intelligence, provided that such data cannot reasonably be used to identify any individual User.
Each party acknowledges that it may receive confidential information belonging to the other party in connection with its use of the Platform. Each party undertakes to:
The obligations in Section 10.1 do not apply to information that: (a) is or becomes publicly available other than through breach of these Terms; (b) was rightfully known to the receiving party before disclosure; (c) is independently developed by the receiving party without reference to the confidential information; or (d) is required to be disclosed by law, court order, or regulatory authority, provided that the receiving party gives the disclosing party prompt written notice (where legally permissible) and cooperates with the disclosing party in seeking a protective order.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. DENTAGO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Dentago does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Dentago reserves the right to suspend, modify, or withdraw the Platform, or any part of it, at any time without notice.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms limits or excludes Dentago's liability for: (a) death or personal injury caused by Dentago's negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be lawfully limited or excluded under applicable law.
Dentago is not liable for any act, omission, Product defect, delivery failure, pricing error, or breach by any Supplier User in connection with any Order. Your legal remedies in respect of Products lie against the relevant Supplier User as the contracting seller.
You agree to indemnify, defend, and hold harmless Dentago Ltd and its officers, directors, employees, agents, contractors, licensors, and successors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
The Platform may contain links to third-party websites, including Supplier Users' own websites and ordering portals. Such links are provided for convenience only and do not constitute Dentago's endorsement of any third-party content, products, or services. Dentago has no control over and accepts no responsibility for the content, privacy practices, or terms of any third-party website. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.
These Terms are effective from the date you first access or use the Platform and continue until terminated in accordance with this Section 14.
You may terminate your Account at any time by submitting a written deletion request to support@dentago.co.uk. Upon termination, your right to access the Platform will cease immediately. Dentago will retain and delete your data in accordance with its Privacy Policy.
Dentago may suspend or terminate your Account immediately, without prior notice or liability, if:
On termination: your licence to use the Platform immediately ceases; outstanding Orders already placed will continue to completion unless Dentago or the relevant Supplier User has a right to cancel them; provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 10, 11, 12, 15, and 16) shall continue in full force and effect.
Dentago reserves the right to modify these Terms at any time. Dentago will provide not less than 14 days' advance written notice (by email to your registered address) of any material changes. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform and may terminate your Account in accordance with Section 14.2.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either party may escalate a dispute to formal proceedings if it is not resolved within 30 days of the initial written notice of the dispute.
These Terms, together with the Privacy Policy and any other policies or notices incorporated by reference herein, constitute the entire agreement between you and Dentago in respect of the Platform and supersede all prior and contemporaneous representations, warranties, understandings, and agreements (whether oral or written) relating to the same subject matter.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the validity, legality, and enforceability of the remaining provisions shall not be affected.
No failure or delay by Dentago in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. No single or partial exercise of any right or remedy shall prevent or restrict further exercise of that right or remedy.
You may not assign, transfer, charge, or otherwise deal with any of your rights or obligations under these Terms without Dentago's prior written consent. Dentago may assign its rights and obligations under these Terms to any successor entity in connection with a merger, acquisition, or sale of substantially all of its assets, without your consent, provided that the successor entity assumes all of Dentago's obligations under these Terms.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, pandemic or epidemic, government action, civil unrest, cyberattack by third parties, or failure of third-party infrastructure. The affected party shall promptly notify the other party and take reasonable steps to mitigate the impact.
Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, or employment relationship between Dentago and any User. No User is authorised to make any commitment, representation, or warranty on Dentago's behalf.
Any formal legal notice required under these Terms must be in writing and delivered by: (a) email to legal@dentago.co.uk (with delivery confirmed by read receipt or written acknowledgement); or (b) first-class post to Dentago's registered address. Notices sent by post are deemed received three Business Days after posting.
These Terms do not create any rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999. This does not affect any right or remedy of a third party that exists independently of this Act.
Dentago operates the Platform in compliance with applicable UK law. Users are responsible for ensuring their own use of the Platform, and the Products they order, complies with all applicable laws and regulations, including those of the GDC, the Care Quality Commission (CQC), NHS England, the Medicines and Healthcare products Regulatory Agency (MHRA), and any other relevant regulatory body.
